Terms of Service
Effective Date: 2 March 2026
These Terms govern use of Approval.ink, operated by XIT FIRM FZE LLC.
1. Acceptance
By accessing or using Approval.ink, you agree to these Terms.
2. Description of Service
Approval.ink is a cloud-based SaaS platform enabling digital proofing, file collaboration, and approval workflows.
We may modify features at our discretion.
3. Eligibility
Users must be 18+ and authorized to bind their organization.
4. Account Responsibility
Users are responsible for:
- Maintaining account security
- All activities under their account
- Accuracy of submitted information
5. User Content
Users retain ownership of uploaded content.
Users grant Approval.ink a limited license to host, process, transmit, and display content solely to provide the Service.
Users warrant content:
- Does not infringe intellectual property
- Is lawful
- Does not violate regulations
6. Prohibited Conduct
Users may not:
- Upload unlawful or infringing content
- Reverse engineer the Service
- Attempt unauthorized access
- Use automated scraping
- Engage in fraudulent activity
- Use the Service to send unsolicited bulk email or spam
- Upload content that exceeds reasonable storage limits or is intended to abuse platform resources
- Use the Service for any automated bulk processing not authorized by Approval.ink
7. Fees & Billing
- Subscription fees billed in advance
- Payments processed by Stripe
- Fees non-refundable unless required by law
- Taxes are user responsibility
Refunds
Subscribers may request a refund within 3 days of initial payment. No refunds are issued after this period.
Price Changes
We reserve the right to modify pricing at any time. For active subscribers, changes take effect at the start of the next billing cycle.
Trial
A 14-day free trial is available to new users. A credit card is required to start a trial unless otherwise stated. At the end of the trial period, your account will require a paid subscription to continue access. You may cancel at any time before the trial ends to avoid being charged.
8. Enterprise Service Level Agreement (SLA)
For enterprise subscription customers only:
8.1 Uptime Commitment
We target 99.5% monthly uptime excluding:
- Scheduled maintenance
- Force majeure events
- Third-party outages
8.2 Support Response Times
- Critical issues: response within 24 hours
- Standard issues: response within 48 hours
8.3 Service Credits
If uptime falls below 99.5%, enterprise customers may request service credits capped at 10% of the monthly subscription fee.
Credits are the sole and exclusive remedy for SLA breaches.
9. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE."
We disclaim all implied warranties including:
- Merchantability
- Fitness for particular purpose
- Non-infringement
10. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, consequential, or special damages.
- We are not liable for loss of profits, revenue, goodwill, business interruption, or data loss.
- We are not responsible for business decisions based on approvals or workflow outputs.
- Our total liability shall not exceed the total fees paid by you in the preceding 12 months.
Nothing excludes liability where prohibited by law.
11. Indemnification
Users agree to indemnify and hold harmless XIT FIRM FZE LLC from claims arising from:
- Uploaded content
- Intellectual property violations
- Regulatory violations
- Misuse of the Service
12. Force Majeure
We are not liable for delays or failures due to events beyond reasonable control.
13. Mandatory Arbitration & Dispute Resolution
13.1 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to the Service shall be resolved exclusively by binding arbitration.
13.2 Arbitration Location
Arbitration shall take place in the Emirate of Sharjah, United Arab Emirates.
13.3 Governing Law
These Terms are governed by the laws of the United Arab Emirates.
13.4 Waiver of Class Actions
Users agree to resolve disputes individually and waive any right to participate in class, consolidated, or representative actions.
13.5 Limitation Period
Any claim must be filed within one (1) year of the event giving rise to the claim.
13.6 Exclusive Remedy
Arbitration shall be the sole and exclusive remedy for disputes.
14. Termination
We may suspend or terminate accounts for violations.
No refunds for termination due to breach.
15. Third-Party Services
We are not liable for:
- Stripe services
- Google services
- Hosting provider outages
- External integrations
16. Severability
If any provision is invalid, remaining provisions remain enforceable.
17. Entire Agreement
These Terms constitute the entire agreement between users and XIT FIRM FZE LLC.
